Terms of Service for luodaInt

Welcome to luodaInt ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website at https://www.luodaint.com ("Website") and the services we provide. By accessing or using our Website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Website or services.
1. Overview of Services
luodaInt provides consulting and engineering services to transform artificial intelligence (AI) concepts into production-ready software products. Our services include but are not limited to:
- AI product development
- Minimum Viable Product (MVP) design and implementation
- Software engineering and infrastructure support
- Technical consulting and strategic guidance
We commit to a high level of collaboration and transparency, typically delivering MVPs within a 4-week timeframe, subject to project complexity and mutual agreement.
2. Engagement and Statement of Work (SOW)
2.1. Project Initiation
Upon purchasing a service package, you will receive a Statement of Work (SOW) that outlines the deliverables, timelines, milestones, responsibilities, payment terms, and scope of engagement.
2.2. Agreement to SOW
No work will commence until the SOW has been reviewed and approved by both parties in writing (email confirmation suffices).
2.3. Scope Adjustments
Any changes to the project scope must be mutually agreed upon in writing. Additional work not included in the original SOW may require a new agreement or revised pricing.
3. Payment, Cancellation, and Refunds
3.1. Payment Terms
Payments are required in advance for all packages, unless explicitly stated otherwise in the SOW. Payment processing is handled via third-party services, and your information is protected in accordance with our Privacy Policy.
3.2. Cancellation by Customer
If the customer cancels the project before completion, the refund amount will be calculated based on the number of hours already dedicated to the project by the luodaInt team. The equivalent cost of these hours will be subtracted from the total paid, and the remaining balance will be refunded.
No refunds will be issued after the project has been completed and the final deliverables have been accepted.
3.3. Cancellation by luodaInt
We reserve the right to cancel any engagement at our sole discretion due to factors such as misuse, abuse, non-cooperation, non-payment, or legal concerns. In such cases, we will refund the unused portion of the payment (if applicable).
4. Intellectual Property and Ownership
4.1. Customer Ownership
All software, code, designs, and deliverables created by luodaInt for the customer under a completed and paid-for SOW shall be exclusively owned by the customer. We claim no intellectual property rights over your project.
4.2. Licensing or Reuse
luodaInt does not retain the right to reuse or redistribute the deliverables unless specifically agreed upon in writing. Customers are free to use, modify, or distribute the software as they wish.
4.3. Portfolio Usage
With the customer's explicit written consent, we may reference the completed project in our portfolio, case studies, or marketing materials. This is entirely optional and will never be done without approval.
5. User Responsibilities
By using our services, you agree to:
- Provide accurate and complete information as required
- Cooperate in a timely manner regarding reviews, approvals, and communications
- Refrain from using our services for any unlawful or unethical purposes
Failure to comply may result in suspension or termination of the engagement.
6. Confidentiality
We respect the confidentiality of your data, intellectual property, and project information. Any non-public information shared with us will be treated as confidential and will not be disclosed to third parties without your consent, unless required by law.
7. Data Collection and Privacy
Our collection and use of personal data is governed by our Privacy Policy. We collect:
- Personal Data: name, email, and payment information for order processing
- Non-Personal Data: web cookies for analytics and performance
We do not share your data with third parties, and we do not knowingly collect data from children.
8. Disclaimers and Limitations of Liability
8.1. No Guarantees
While we strive for excellence, we do not guarantee specific results or outcomes. All services are provided on an "as-is" and "as-available" basis.
8.2. Liability Limitations
To the maximum extent permitted by law, luodaInt shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, revenue, or data arising out of or in connection with your use of our services.
In any case, our total liability shall not exceed the amount you paid us for the specific service in question.
9. Updates to Terms
We reserve the right to update or modify these Terms at any time. Users will be notified of material changes via email. Continued use of the Website or our services after such changes constitutes your acceptance of the revised Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the courts located in Delaware.
